Negotiation Process

Research Grant and Contract Services (RGCS) reviews and negotiates terms of research contracts and agreements in consultation with the researcher and their academic unit. RGCS strives to ensure the best interests of the university and the researcher are protected.

Execution (signature) of a research contract may be delayed while certain clauses are being negotiated. Clauses that often require review and negotiation are those that reference:

  • Indirect costs
  • IIntellectual property 
  • Publication rights 
  • Confidentiality
  • Indemnification 
  • Termination 
  • Governing laws 
  • Force Majeure 
  • Insurance

RGCS work closely with legal counsel, the Office of the Vice-President (Research), Enterprise Risk Management, the relevant academic unit and the sponsor, and strive to resolve outstanding issues in a timely manner.
